Frequently Asked Questions for Companies

1. What is Deal Exchange?

Deal Exchange is an online service that was created to assist public and private companies in finding investment capital. The system matches companies that are looking for financing with appropriate Investment Professionals who are looking to finance companies.

2. How does Deal Exchange differ from other online services?

Deal Exchange has two main differences that other services do not provide:

1) Only registered investment professionals may view your business summary and financing requirements (your deal is not being shown to unlicensed agents).

2) Management of participating companies must have their Personal Information Forms reviewed by CNSX - Canadian National Stock Exchange. (This is a background check that gives the investment professionals more confidence in the quality of your company's management).

3. How much does Deal Exchange cost?

For publicly listed companies on CNSX the cost of Deal Exchange is a one-time setup fee of $400 + GST. For private companies, or public companies not listed on CNSX, the cost is $2,000 + GST. Once a financing is completed these fees are payable again should the company wish to complete another financing.

For companies not listed on CNSX, the $2,000 fee will be credited against the CNSX listing fee if the company does become listed prior to or following a financing.

4. Are there any other fees?

Yes, there are success fees payable for successful financings completed through Deal Exchange. The fees are as follows:

• $1000.00 + 1% of first $500,000 raised.

• 0.5% of next $1,500,000.

• 0.25% of next $10,000,000.

5. What are Personal Information Forms (PIFs)?

Personal Information Forms or PIFs are documents that you must complete in order to participate on Deal Exchange. They provide a personal and business history of yourself, and include a consent to a criminal records check. The forms must be notarized and filled out in detail. CNSX reviews your PIFs so that the participating dealers can be confident of your management team.

6. I have already filled out PIFs with another organization -- do I have to redo them?

Yes, because of privacy legislation CNSX has its own PIFs which must be completed to participate in Deal Exchange.

7. By being accepted for Deal Exchange do I also get a listing on the CNSX Stock Exchange?

No. Acceptance onto Deal Exchange DOES NOT in any way mean that your company has received approval for trading on the CNSX Stock Exchange.

8. Who gets to look at my company's business summary on Deal Exchange?

Only investment professionals registered with one of the Canadian provincial securities commissions may view your business summary. These include Investment Advisors, Investment Bankers and Corporate Finance specialists at full service investment dealers and Limited Market Dealers.

9. Do the investment professionals who view my business summary know my company's name and contact details?

No, all business summaries are anonymous. They do not show the company's name, management or contact details. They will only be provided after the investment professional has requested more information on your deal, and you have given Deal Exchange permission to release your name and contact details.

10. Do I have to be a Canadian incorporated company to participate on Deal Exchange?

No, you can be incorporated in any jurisdiction worldwide.
