Information for Companies

Whether you are already trading on CNSX, or you are a private company looking for capital, Deal Exchange can assist you in raising the investment capital you need to advance your business goals. You simply post information on the nature of your company and product -- and describe your deal -- and it gets introduced to investment professionals who have already expressed interest in your type of deal. And with Deal Exchange, only investment professionals who are registered with one of the provincial securities commissions can view your business summary, giving you a greater sense of confidence in who you are dealing with.

After you apply for a Company Account you will receive an email with further instructions.

If you are a CNSX Listed Company you will be asked to send in a set-up fee of $400 + GST = $420 in order to activate your account.

If you are a private company or a public company that is not listed on CNSX you will be required to submit Personal Information Forms (PIFs) for your Senior Management, Directors and anyone holding 10% or more of the company. In addition to the above, you are required to send along a payment of $2,000 + GST = $2,100. The Personal Information Form will be emailed to you once you apply for registration on Deal Exchange.

You are not obligated to become a public company on CNSX, but it is necessary to have your Personal Information Forms reviewed to participate in Deal Exchange.

Companies not listed on CNSX are required to submit the Personal Information Forms because the investment professionals who view your business summary will then know that they have been reviewed by CNSX - Canadian National Stock Exchange.

Please note that being accepted by Deal Exchange does NOT in any way imply that you are approved for listing on CNSX.

The only additional fees are success-based, as follows:

  • $1000.00 + 1% of first $500,000 raised
  • 0.5% of next $1,500,000
  • 0.25% of next $10,000,000

Once you have set up your account and have submitted the required documents and/or the applicable fee, your account will be activated and you will be able to fill out a draft business summary. The draft business summary will be reviewed and you will be notified if it is accepted or not. If it is accepted it will be immediately posted to the site and a participating investment professional will be notified by email of your posting. If it is not accepted you can contact a Deal Exchange staff member to discuss the reasons why it was not accepted and how to rectify it.

Business summaries are anonymous. The investment professional will not see your company name, management team names or contact details unless they are interested in your company. Click here to view a generic business summary or click here to view a business summary for a natural resource company.

Once your business summary is posted and an investment professional wants to learn more, he can click on a button to request your contact information. At that point a Deal Exchange staff member will receive notification that an investment professional is interested in your company. The Deal Exchange staff member will then contact you to inform you of the interest by the investment professional. With your permission Deal Exchange will provide the investment professional with your company name and contact details.

After that, it is between you and the investment professional.
