1. You acknowledge that Deal Exchange, Canadian Trading and Quotation System Inc. ("CNSX"), In the Black Solutions ("ITB") and their respective employees and agents are not acting as your agent or as agent of any dealer.
2. You acknowledge that Deal Exchange will provide no assistance or advice to you other than referring your financing proposal to dealers who have expressed an interest.
3. You acknowledge that there is no guarantee that a financing on terms acceptable to you will be concluded.
4. You agree to pay the applicable success fee on completion of the financing as outlined below:
   
• $1000.00 + 1% of first $500,000 raised.
• 0.5% of next $1,500,000.
• 0.25% of next $10,000,000.
